DTI, headquartered in Atlanta, GA, is one of the largest independent providers of legal information management services in the U.S. The Company serves thousands of law firms and corporations with a full suite of information management services including on-site management of document centers and mailrooms and off-site processing and hosting of electronic information related to litigation. The Company was founded by its current CEO in 1998, and he and his management team had grown the business consistently through several industry changes to become a market leader in each of its service offerings.
Having acquired DTI in December of 2008, Quad-C was seeking liquidity on its investment after three years of successful growth. The Company’s management team sought to replace its existing private equity partner with a new partner with substantial capital and acquisition-related resources to continue its growth.
- Advisory Role
VRA Partners was engaged by Quad-C and DTI to serve as a financial advisor in the sale of the Company. In VRA’s fourth transaction with the Company (three recapitalizations and one buyside of an industry competitor), the process focused on finding another private equity partner that fit management’s criteria for a new partner that could also deliver an acceptable valuation for Quad-C. The Company’s phenomenal growth and financial performance through a difficult economic cycle allowed for a significant increase in valuation from the time Quad-C invested at the end of 2008.
DTI was acquired by Harvest Partners, a New York City based private equity firm. The buyer exceeded Quad-C’s valuation objectives and sold themselves as an excellent fit with Company management as a firm with resources and expertise to support the Company's continuing growth and acquisition initiatives. In addition, the buyer spent significant time educating themselves on DTI’s business and industry prior to and during the process.
The bankers at VRA advised my company on all three of our private equity recapitalizations, finding a value-added partner for us in every case. They have also found valuable acquisition opportunities for us. They do a great job advising on transactions but what makes them unique is their active involvement before and after transactions. VRA is a great long term business partner.
